Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and KeyOpinions, Inc. (“KeyOpinions,” “we,” “our,” or “us”) governing your access to and use of the KeyOpinions platform, website, and all associated services (collectively, the “Services”).

By accessing or using the Services — including by submitting an early access request, creating an account, or otherwise interacting with the platform — you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are accessing the Services on behalf of a law firm, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, “you” refers to both the individual and the entity.

If you do not agree to these Terms, you must not access or use the Services. We reserve the right to modify these Terms at any time. Material changes will be communicated through the platform or via email. Continued use of the Services following any modification constitutes acceptance of the revised Terms.

KeyOpinions is a litigation intelligence platform designed to assist attorneys and law firms in evaluating case viability, identifying appropriate expert witnesses, and supporting early-stage case decision-making through structured data and pattern-based analysis.

The Services may include, without limitation:

• Case signal intake and structured evaluation tools
• Expert identification and profile intelligence
• Pattern-based analysis drawn from litigation data
• Decision support dashboards and reporting interfaces
• Communication and collaboration features for legal teams
• Access to platform documentation, guides, and support resources

KeyOpinions reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify users of material changes that affect ongoing use of the platform.

Subject to your compliance with these Terms, KeyOpinions grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal professional purposes in connection with the practice of law or legal services.

You agree that you will not, directly or indirectly:

You are solely responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. You agree to notify KeyOpinions immediately at support@keyopinions.com if you become aware of any unauthorized use of your account or any other security breach.

You further represent, warrant, and agree that:

• All information you provide to KeyOpinions is accurate, current, and complete, and you will maintain and promptly update such information as necessary.
• You will use the Services only in compliance with applicable laws, bar rules, and professional conduct obligations governing the practice of law in your jurisdiction.
• You are responsible for ensuring that your use of the Services does not violate any confidentiality obligations owed to clients or third parties.
• You will not upload, transmit, or otherwise make available through the Services any content that is unlawful, defamatory, infringing, or otherwise objectionable.
• You are responsible for all fees, charges, and costs associated with your account and subscription, if applicable.

The information, analysis, and outputs generated by the Services are intended to assist qualified legal professionals in their own independent evaluation and decision-making. They do not substitute for the professional judgment of a licensed attorney, and should not be relied upon as a definitive assessment of any legal matter.

KeyOpinions makes no representations or warranties regarding the accuracy, completeness, or fitness for a particular purpose of any information provided through the Services. Expert profiles, case pattern data, and analytical outputs are provided for informational reference only and may not reflect current or complete information.

Users are solely responsible for independently verifying any information obtained through the Services before relying upon it in connection with any legal matter, client representation, or professional obligation.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the fullest extent permitted by applicable law, KeyOpinions, its officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of or inability to use the Services, including but not limited to:

• Loss of revenue, profits, or business opportunities
• Loss or corruption of data or information
• Costs of substitute services or procurement
• Damages arising from reliance on platform outputs in connection with any legal matter
• Any unauthorized access to or alteration of your data

In no event shall KeyOpinions' total aggregate liability to you for all claims arising out of or related to these Terms or the Services exceed the greater of (a) the total fees paid by you to KeyOpinions in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

All content, features, functionality, software, algorithms, data structures, visual design, and other materials comprising or incorporated into the Services (“KeyOpinions Content”) are and shall remain the exclusive property of KeyOpinions, Inc. and its licensors. KeyOpinions Content is protected by applicable copyright, trademark, trade secret, patent, and other intellectual property laws.

These Terms do not grant you any ownership interest in the Services or KeyOpinions Content. The limited license granted under Section 3 does not include the right to reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any KeyOpinions Content outside of your authorized use of the Services.

You retain ownership of any data, content, or materials you submit to the Services (“User Content”). By submitting User Content, you grant KeyOpinions a limited, non-exclusive, royalty-free license to use, process, and store such content solely as necessary to provide the Services to you. KeyOpinions will not use User Content for any other purpose without your consent.

If you provide feedback, suggestions, or ideas regarding the Services, you grant KeyOpinions a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation or compensation to you.

These Terms remain in effect for as long as you access or use the Services. Either party may terminate this agreement at any time, subject to the following:

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you hereby consent to personal jurisdiction in such courts.

Notwithstanding the foregoing, KeyOpinions reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or restrain any breach or threatened breach of these Terms.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The failure of KeyOpinions to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with the Privacy Policy and any additional agreements you enter into with KeyOpinions, constitute the entire agreement between you and KeyOpinions with respect to the Services and supersede all prior agreements, representations, and understandings.
